1. Acceptance of Terms

By accessing our website or engaging our services, you agree to be bound by these Terms & Conditions. If you do not agree, please do not use our services.

2. Services

NextTrackSystems provides software development, AI integration, UI/UX design, and related technology consulting services. The scope of each project is defined in a separate Statement of Work (SOW) or project proposal agreed upon by both parties.

3. Project Engagement

  • Projects begin after mutual agreement on scope, timeline, and payment terms.
  • We provide estimates in good faith. Actual timelines may vary based on project complexity and client responsiveness.
  • Changes to the project scope after agreement may require additional time and cost, subject to a change order.

4. Payment Terms

  • Payment schedules are outlined in the project proposal or SOW.
  • A deposit may be required before work begins. Milestone-based payments apply for larger projects.
  • Late payments may result in project suspension until outstanding balances are settled.

5. Intellectual Property

  • Upon full payment, the client receives ownership of all custom code and deliverables created for the project.
  • We retain the right to use general tools, frameworks, and reusable components developed during the project.
  • Third-party libraries remain subject to their respective open-source licenses.

6. Client Responsibilities

Clients are responsible for:

  • Providing timely feedback and approvals during the project.
  • Supplying necessary content, credentials, and access to required systems.
  • Ensuring that all materials provided do not infringe upon third-party rights.

7. Warranty & Support

  • We provide a 30-day warranty period after project delivery to address bugs related to the agreed-upon scope.
  • Extended support and maintenance packages are available separately.
  • We do not guarantee uninterrupted or error-free operation of third-party services integrated into the project.

8. Limitation of Liability

To the maximum extent permitted by law, NextTrackSystems shall not be liable for indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability is limited to the total fees paid by the client for the specific project in question.

9. Confidentiality

Both parties agree to keep confidential information shared during the project private and not disclose it to third parties without prior written consent.

10. Termination

  • Either party may terminate an engagement with 14 days' written notice.
  • Upon termination, the client is responsible for payment for work completed up to the termination date.
  • Completed deliverables will be transferred upon settlement of all outstanding payments.

11. Governing Law

These terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.
